PushAds Terms & Conditions

These Terms and Conditions (“Terms”) govern the use of PushAds (“Service”), the advertising platform operated by Pushabl, LLC (“Pushabl,” “we,” “our,” or “us”). By submitting or running advertisements (“Ads”) through PushAds, you (“Advertiser,” “you,” or “your”) agree to be bound by these Terms.
1. Eligibility
- Advertisers must be at least 18 years old or the age of majority in their jurisdiction.
- You must have the authority to act on behalf of the entity or organization placing Ads.
2. Ad Submission and Approval
- All Ads are subject to review and approval by Pushabl before publication.
- Pushabl may reject, remove, or require modifications to any Ad at its sole discretion.
- Ads must comply with applicable laws, regulations, and industry guidelines, including but not limited to:
- Federal Trade Commission (FTC) guidelines
- CAN-SPAM Act
- GDPR, CCPA, and other data privacy laws (as applicable)
- Local advertising standards and restrictions
3. Prohibited Content
Advertisers may not submit Ads that:
- Promote illegal, fraudulent, or misleading products/services.
- Contain false, deceptive, or unsubstantiated claims.
- Infringe on intellectual property rights of others.
- Feature adult, obscene, violent, or hateful material.
- Include malware, spyware, or attempts to collect data without consent.
- Discriminate based on protected characteristics.
4. Placement and Delivery
- Pushabl will make commercially reasonable efforts to deliver Ads to the targeted audience as specified in your campaign settings.
- Pushabl does not guarantee impressions, clicks, conversions, or specific outcomes unless explicitly stated in a separate written agreement.
- Ads may appear across the Pushabl network, including affiliated websites, apps, and partner platforms.
5. Advertiser Responsibilities
- The accuracy and legality of all Ad content, claims, and creative materials.
- Obtaining all necessary rights, licenses, and consents for use of images, logos, trademarks, and copyrighted content.
- Ensuring landing pages linked from Ads are functional, secure, and compliant with applicable laws.
- Paying all fees, charges, and applicable taxes associated with your campaigns.
6. Billing and Payments
- Advertisers agree to pay fees as outlined in their account or campaign order.
- Payments are due per the billing terms provided by Pushabl.
- Pushabl may suspend or terminate Ads for non-payment.
7. Reporting and Metrics
- Pushabl will provide campaign reporting via its dashboard or reporting tools.
- Metrics provided by Pushabl (impressions, clicks, conversions, etc.) are conclusive for billing purposes unless otherwise stated.
8. Intellectual Property
- Advertisers retain ownership of their Ad content but grant Pushabl a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute Ads for delivering and promoting campaigns.
- Pushabl retains ownership of all software, technology, data, and systems used in connection with PushAds.
9. Confidentiality
Both parties agree to keep confidential information, including pricing, campaign details, and proprietary systems, secure and not disclose it to unauthorized third parties.
10. Limitation of Liability
- Pushabl is not liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use PushAds.
- Pushabl’s maximum aggregate liability for any claim is limited to the amount paid by the Advertiser to Pushabl in the three (3) months preceding the claim.
11. Indemnification
Advertisers agree to indemnify, defend, and hold harmless Pushabl, its affiliates, and employees from any claims, damages, or liabilities arising out of Ad content, campaigns, or breach of these Terms.
12. Termination
- Pushabl may suspend or terminate access to PushAds at any time for violation of these Terms or applicable laws.
- Advertisers may cancel campaigns, but fees already incurred remain payable.
13. Modifications
Pushabl may update these Terms at any time. Continued use of PushAds after changes take effect constitutes acceptance of the revised Terms.
14. Governing Law
- These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles.
- Any disputes shall be resolved exclusively in the courts located in Clark County, Nevada.
